Welcome to Ask A Local.fyi ("Platform," "Service," "we," "us," or "our"), operated by 99 Agents Agency ("Company," "Parent Company"). By accessing or using our website, services, tools, or any associated applications, you ("User," "you," "your," "Business," "Subscriber") agree to be bound by these Terms of Service ("Terms," "Agreement").

These Terms apply to all visitors, users, subscribers, and others who access or use the Service, including businesses that create listings, utilize our AI Visibility Analyzer, embed our widgets, or subscribe to any of our service tiers.

2. Description of Service

Ask A Local.fyi is a local business directory and AI visibility optimization platform. Our services include:

• Business Directory Listings: Searchable profiles for local businesses optimized for discovery by AI assistants and traditional search engines.
• AI Visibility Analyzer: Proprietary diagnostic tools that measure how businesses appear in AI assistant responses (ChatGPT, Claude, Perplexity, Google Gemini, and others).
• AI-Optimized Content: Creation and management of FAQ content and business information structured for citation by generative AI systems.
• Embed Widgets: Code snippets that businesses can add to their own websites to display AI-optimized content.
• Analytics and Reporting: Visibility scores, tracking, and performance metrics related to AI recommendations.

The specific features available to you depend on your subscription tier.

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal authority to bind yourself or the business you represent to these Terms
• Provide accurate, current, and complete information during registration
• Not be prohibited from using the Service under applicable laws

By using Ask A Local.fyi, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, truthful, and complete registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4.2 Business Verification

When claiming or creating a business listing, you represent that you are authorized to act on behalf of that business. We reserve the right to verify business ownership and may suspend or remove listings that cannot be verified.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect the Service or other users.

5. Subscription Plans and Payment

5.1 Service Tiers

Ask A Local.fyi offers multiple subscription tiers:

• Starter ($9.99/month or $7.99/month annual): Verified directory listing, 3 citation-enhanced FAQs, embed widget, basic analytics
• Growth ($29.99/month or $23.99/month annual): 12 total FAQs (6 standard + 6 citation-enhanced), annual professional photo shoot, competitor tracking (3 competitors), priority support
• Professional ($79.99/month or $63.99/month annual): 25 total FAQs (15 standard + 10 citation-enhanced), 3 locations, white-label widget, featured spotlight placement, phone support

Pricing is subject to change with 30 days' notice to existing subscribers.

5.2 Billing and Payment

• Subscriptions are billed monthly or annually on a recurring basis
• Payment is due at the beginning of each billing cycle
• All fees are non-refundable except as expressly stated in these Terms
• You authorize us to charge your designated payment method for all applicable fees

5.3 Cancellation

• You may cancel your subscription at any time through your account dashboard
• Cancellation takes effect at the end of your current billing period
• Upon cancellation, your listing may remain visible but will lose verified status, optimization updates, and enhanced features
• No refunds are provided for partial billing periods

5.4 Failed Payments

If payment fails, we may suspend access to premium features until payment is successfully processed. Continued failure to pay may result in account termination.

6. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Submit false, misleading, or fraudulent business information
• Claim or represent a business you are not authorized to represent
• Impersonate any person or entity
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Scrape, harvest, or collect data from the Service without authorization
• Use the Service for spam, unsolicited advertising, or promotional purposes
• Reverse engineer, decompile, or attempt to extract source code from our proprietary tools
• Resell, sublicense, or redistribute the Service without our written consent
• Engage in any activity that could damage, disable, or impair the Service

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending accounts, and reporting to law enforcement.

7. Business Listing Content

7.1 Your Content

You retain ownership of all content you submit to the Service ("Your Content"), including business information, descriptions, images, FAQs, and other materials.

By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, distribute, and create derivative works from Your Content for the purpose of operating and promoting the Service.

7.2 Content Accuracy

You are solely responsible for ensuring Your Content is accurate, current, and does not violate any laws or third-party rights. You represent and warrant that:

• You own or have the necessary rights to submit Your Content
• Your Content does not infringe any intellectual property rights
• Your Content is truthful and not misleading
• Your Content complies with all applicable laws and regulations

7.3 Content Moderation

We reserve the right to review, edit, or remove any content that violates these Terms or that we deem inappropriate, without prior notice.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, AI optimization methodology, algorithms, and proprietary tools, is owned by 99 Agents Agency and protected by copyright, trademark, and other intellectual property laws.

Our trademarks, service marks, logos, and trade names may not be used without our prior written consent.

8.2 Proprietary Methodology

Our AI visibility optimization methodology, analysis algorithms, and optimization techniques are proprietary trade secrets. You agree not to:

• Attempt to reverse engineer or discover our optimization methods
• Share or disclose details of our proprietary processes to third parties
• Use knowledge gained from our Service to create competing products or services

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Embed Widget Terms

9.1 License Grant

Subject to your compliance with these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable license to embed our widget code on websites you own or control.

9.2 Widget Restrictions

You may not:

• Modify, alter, or create derivative works of the widget code
• Remove or obscure any branding or attribution (except where white-label options are included in your subscription tier)
• Use the widget on websites that violate these Terms or applicable laws
• Frame or embed the widget in a manner that misrepresents its source

9.3 Termination of Widget License

Upon cancellation or termination of your subscription, your license to use the embed widget terminates. You agree to remove the widget code from your website(s) promptly upon termination.

10. AI Visibility Analyzer

10.1 Service Description

The AI Visibility Analyzer queries third-party AI platforms to assess how your business appears in AI-generated responses. Results are based on our proprietary analysis methodology.

10.2 No Guarantees

We do not guarantee:

• Specific visibility scores or rankings
• Placement in any particular AI assistant's responses
• Improvement in AI visibility or business outcomes
• Accuracy of third-party AI responses about your business

AI platforms are operated by third parties and may change their algorithms, data sources, or behavior at any time without notice. Our analysis reflects conditions at the time of testing and may not predict future results.

10.3 Third-Party Platforms

We are not affiliated with OpenAI (ChatGPT), Anthropic (Claude), Perplexity AI, Google (Gemini), or any other AI platform we may analyze. These are independent third-party services with their own terms and policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

99 AGENTS AGENCY DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE
• THE QUALITY OF THE SERVICE WILL MEET YOUR EXPECTATIONS
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 99 AGENTS AGENCY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA
• ANY DAMAGES ARISING FROM CONDUCT OF THIRD PARTIES ON THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless 99 Agents Agency and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or business listing information
• Any dispute between you and a third party

14. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may revise these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and 99 Agents Agency.
